Terms & Conditions

These Terms and Conditions ("Terms") form a binding agreement between you and AYO, Inc. ("AYO," "we," "us," or "our") and govern your access to and use of the AYO mobile application, website at ayotheapp.com, and related services (the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

IMPORTANT: SECTION 15 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE READ CAREFULLY.

1. Eligibility

You must be at least 18 years old, legally able to form a binding contract, not a convicted sex offender, not on any sanctions or terrorism list, and not previously banned from the Service. By using the Service you represent that you meet these requirements.

2. Your Account

You must provide accurate, current, and complete information.
You are responsible for activity on your account and for keeping credentials secure.
One person, one account. Accounts are non-transferable.
We may require identity, photo, or age verification at any time.

3. Subscriptions, Purchases, and Auto-Renewal

AYO offers free features and optional paid subscriptions and one-time purchases (collectively, "Paid Services"). Prices and features are described at the point of purchase.

Auto-renewal: subscriptions automatically renew at the then-current price for the same period unless canceled at least 24 hours before the end of the current term.
How to cancel: manage subscriptions through your Apple App Store or Google Play account settings. Deleting the app does not cancel your subscription.
Refunds: except where required by law, all purchases are final and non-refundable. Statutory rights, including any right of withdrawal under applicable consumer law, are not affected.
Promotions and trials: may be subject to additional terms; if you do not cancel before the trial ends, you will be charged.

4. License to Use the Service

Subject to these Terms, AYO grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use. We reserve all rights not expressly granted.

5. Your Content

You retain ownership of the photos, videos, audio, messages, and other content you submit ("User Content"). You grant AYO a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, use, copy, modify, adapt, publish, translate, distribute, publicly display, and perform your User Content for the purposes of operating, providing, improving, and promoting the Service. This license ends when you delete your User Content or your account, except (a) to the extent it has been shared with others who have not deleted it, and (b) for backup, legal, and safety purposes.

You represent that you own or have all necessary rights to your User Content and that it does not violate these Terms or any third-party rights or laws.

6. Community Guidelines and Prohibited Conduct

You agree not to:

Harass, threaten, stalk, defame, or abuse anyone.
Post nudity, sexually explicit content, or content sexualizing minors.
Solicit money, payments, financial information, or commercial transactions from other users.
Impersonate any person, misrepresent your identity, or use someone else's photos.
Promote violence, hate speech, terrorism, or discrimination.
Promote, sell, or solicit illegal drugs, weapons, or unlawful activity.
Spam, scrape, reverse engineer, decompile, or interfere with the Service.
Use bots, automation, or fake accounts.
Share other users' personal information without consent.
Use the Service for commercial or promotional purposes without our written consent.

Violations may result in content removal, suspension, or permanent ban, and may be reported to law enforcement.

7. Video Speed Dates

Live video and audio sessions are part of the Service. You consent to AYO using automated tools and human reviewers to monitor, moderate, and act on session content for safety and policy enforcement. Do not record, screenshot, or share another user's likeness without their consent.

8. Safety Disclaimer

AYO is not responsible for the conduct of any user, on or offline. We do not conduct criminal background checks on users (except where required by law). You are solely responsible for your interactions with other users. Use caution, never send money, and meet new people in safe public places. AYO makes no warranties regarding the compatibility, conduct, or character of any user.

9. Suspension and Termination

We may suspend, restrict, or terminate your account at any time, with or without notice, for any reason, including violation of these Terms, suspected fraud, or to protect users or the Service. You may delete your account at any time in the app.

10. Intellectual Property

The Service, including software, design, text, graphics, logos, and trademarks (including "AYO"), is owned by AYO or its licensors and is protected by intellectual property laws. You may not copy, modify, or create derivative works from the Service except as permitted.

11. Third-Party Services and App Stores

The Service may interoperate with third-party services (e.g., Apple, Google, Facebook, payment processors). Your use of those services is governed by their terms. You acknowledge that Apple and Google are third-party beneficiaries of these Terms with the right to enforce them with respect to their respective platforms, and that AYO (not Apple or Google) is solely responsible for the Service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that you will find a match.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow these limitations; in those cases the limitations apply to the fullest extent permitted.

14. Indemnification

You agree to indemnify, defend, and hold harmless AYO and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your interactions with other users, or your violation of these Terms or any law or third-party right.

15. Dispute Resolution; Arbitration; Class Action Waiver

Please read carefully — this section affects your legal rights.

Informal resolution: before filing any claim, you agree to contact us at hello@ayotheapp.com and attempt to resolve the dispute informally for at least 60 days.
Binding arbitration: any dispute not resolved informally will be resolved by binding individual arbitration administered by JAMS under its rules, in the county where you reside (or, at your option, by video conference). Judgment may be entered in any court of competent jurisdiction.
Class action waiver: you and AYO agree to bring claims only in your individual capacity, not as a plaintiff or class member in any class, collective, or representative action.
Exceptions: either party may bring an individual action in small claims court or seek injunctive relief in court for intellectual property infringement.
30-day opt-out: you may opt out of arbitration by emailing hello@ayotheapp.com within 30 days of first accepting these Terms with the subject "Arbitration Opt-Out."

16. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Subject to Section 15, the exclusive venue for any action is the state and federal courts located in Delaware.

17. Changes to the Service or Terms

We may modify or discontinue features at any time. We may update these Terms by posting the revised version with a new "Last updated" date and, for material changes, providing additional notice. Continued use after changes constitutes acceptance.

18. Miscellaneous

These Terms are the entire agreement between you and AYO regarding the Service.
If any provision is unenforceable, the rest remains in effect.
Our failure to enforce a provision is not a waiver.
You may not assign these Terms; we may.
